Neutral Consultants Limited
- We are a limited company incorporated under English Law with registered number 13838221. Our registered office is at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ.
Services
- We provide professional consultancy services in energy assessments, audits and dynamic simulation. The scope of services will be defined in a separate written agreement or proposal accepted by both parties.
Engagement and Payment
- All engagements are subject to a signed agreement or written confirmation.
- Fees are outlined in the proposal or invoice and are payable within 14 days of the invoice date unless otherwise agreed.
- We shall be entitled to charge interest at a rate of 2% above the base rate on all invoices which remain unpaid after the due date.
Client Responsibilities
- Provide accurate and timely information necessary for the consultancy.
- Cooperate with our team and respond to requests promptly.
- Ensure that any third-party permissions or access required are granted.
Confidentiality
- Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement.
Intellectual Property
- Unless otherwise agreed in writing:
- We retain ownership of all methodologies, templates, and tools used or developed.
- Clients receive a non-exclusive, non-transferable license to use deliverables for internal purposes only.
Limitation of Liability
- To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the amount paid for the services in question.
Termination
- Either party may terminate the engagement with 30 days’ written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date.
Governing Law
- These Terms are governed by the laws of England and Wales, and any disputes shall be resolved in the courts of that jurisdiction.
Amendments
- We reserve the right to update these Terms at any time. Clients will be notified of significant changes.
